
LoadPath Systems — Standard Terms & Project Conditions
The following terms apply to all proposals, quotes, and material supply agreements issued by LoadPath Systems, LLC (“LoadPath,” “Seller”). These terms are intended to ensure clarity, accuracy, and successful project outcomes when using panelized cold-formed steel framing systems.
1. Scope of Supply
LoadPath provides engineered, factory-assembled cold-formed steel (CFS) structural framing systems, including panelized wall assemblies and related structural components, as defined in the project proposal.
Unless specifically included in writing, LoadPath does not provide:
Installation or erection services
Offloading, storage, or site handling
Sheathing, insulation, WRB, or finishes
Anchor bolts or concrete anchorage
Field engineering, inspections, or testing
Site layout or dimensional verification
2. Panelized Construction Requirements
Panelized construction relies on higher dimensional accuracy than traditional field framing. Tolerances acceptable for stick framing may not be suitable for panelized systems. To ensure proper fit and performance, site conditions must meet the tolerances outlined below.
3. Foundation & Anchor Bolt Tolerances
Concrete work and embedded items must comply with ACI 117. For panelized CFS construction, LoadPath recommends the following maximum deviations unless otherwise approved in writing:
Foundation edge location: ±1/2 inch
Anchor bolt location: ±1/4 inch
Slab elevation under bearing walls: ±1/4 inch in 10 feet
Out-of-plumb walls: not to exceed 1/4 inch in 10 feet
LoadPath is not responsible for fitment issues, field modifications, or associated costs resulting from site conditions exceeding these tolerances.
4. Site Verification
The contractor or project team is responsible for verifying foundation dimensions, elevations, and anchor bolt placement prior to delivery. Delivery of materials constitutes acceptance of site conditions.
5. Shop Drawing Approval
Fabrication begins only after written approval of shop drawings. Approval confirms that dimensions, openings, and interfaces are correct.
Changes after approval may result in additional engineering costs, material charges, and schedule adjustments.
6. Delivery, Handling & Storage
Offloading
The contractor is responsible for providing equipment and personnel for offloading.
Site Access
The site must accommodate up to a 53-foot flatbed trailer. Tow-offs due to site conditions are the contractor’s responsibility.
Storage
Materials must be stored off the ground on level, drained surfaces and protected from standing water and prolonged exposure to weather.
Damage resulting from improper storage or handling is not covered under warranty.
7. Installation Responsibility
Installation is performed by others. LoadPath is not responsible for:
Improper installation or sequencing
Field cutting, welding, or alteration
Deviations from approved shop drawings
Field modifications may void applicable warranties.
8. Risk of Loss
Risk of loss transfers to the purchaser upon delivery to the project site. The purchaser is responsible for protection from weather, theft, damage, and improper handling.
9. Warranty & Fitment
LoadPath warrants that assemblies are manufactured in accordance with approved shop drawings.
Site conditions exceeding specified tolerances
Design errors or conflicts in project documents
Improper installation or field modification
Damage after delivery
This warranty does not cover:
If an assembly fails to fit due to a manufacturing error, LoadPath will provide a remedy consistent with the project agreement.
10. Pricing & Material Volatility
Quotes are valid for a limited time as specified in each proposal. Due to steel market volatility, pricing may be adjusted for project delays or extended procurement timelines.
11. Payment Schedule
We receive a 25% deposit on proposal acceptance, followed by a 50% payment when shop drawings are approved and engineering is complete, this is the production trigger. We receive the final 25% when the panels are loaded and ready for delivery.
12. Limitation of Liability
LoadPath is not liable for project delays, liquidated damages, or consequential damages. Liability, if any, is limited to the value of materials supplied.
13. Force Majeure
LoadPath is not responsible for delays caused by events beyond its control, including material shortages, transportation disruptions, labor disputes, acts of God, or governmental actions.
14. Governing Law
All agreements are governed by the laws of the State of Utah.
